The 3.1 channel version has a center channel - a separate speaker in the middle of the sound bar - in addition to the left and right end speakers. This can provide notably better dialog clarity as most dialog (voices) come from the center speaker. With only 2 channels the voices are mixed with the music and sound effects in the left and right speakers.
