3.1 means three speakers (left, center, right) and one subwoofer. As you can guess, 5.1 has five speakers and one subwoofer.

The 5.1 adds two Acoustic Beam speakers on the top of the soundbar that lets sound reflect off the room to give you a surround effect from the soundbar. The 5.1 would give the room a more theater feel than the 3.1 soundbar. ^Jeremy
