Noise cancelling means that there is technology in the headphones to help "turn the volume down" on the outside of your headphones so you can hear the headphones more clearly.

Active noise canceling earbuds use phase inversion to delay one of the two different sound wavelengths that come your way. This delay lasts about half a second, and it's responsible for muting background noises and improving the audio sounds in your ears.
